These Terms of Service ("Terms") govern your access to and use of the ContentPlan platform, website, and related services (collectively, the "Service") provided by ContentPlan ("we," "us," or "our"). Please read these Terms carefully before using the Service.

Acceptance of Terms

By creating an account, accepting an invitation, or otherwise accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and the organization.

If you do not agree with any part of these Terms, you must not use the Service.

Description of Service

ContentPlan is a web-based content management and collection platform designed for digital agencies and their clients. The Service enables agencies to create project structures, define page hierarchies, invite clients to contribute content, track progress, and manage the content gathering process for web development projects.

The Service includes features such as rich text content editing, file uploads, commenting, due date tracking, automated reminders, visual sitemap building, and guided content entry flows. We may modify, update, or discontinue features of the Service at any time with reasonable notice.

Account Registration

To use the Service, you must create an account or accept an invitation from an organization administrator. You agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain and promptly update your account information to keep it accurate.
  • Keep your password secure and confidential. You are responsible for all activity that occurs under your account.
  • Notify us immediately at legal@contentplan.io if you suspect unauthorized access to your account.

We reserve the right to suspend or terminate accounts that contain false or misleading information, or that violate these Terms.

Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not:

  • Use the Service to upload, store, or transmit any content that is unlawful, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable.
  • Attempt to gain unauthorized access to any part of the Service, other user accounts, or systems connected to the Service.
  • Interfere with or disrupt the integrity or performance of the Service, including through the use of viruses, bots, or denial-of-service attacks.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service.
  • Use the Service to send unsolicited communications, spam, or bulk messages to users who have not consented.
  • Resell, sublicense, or redistribute access to the Service without our prior written consent.
  • Use automated tools to scrape, crawl, or extract data from the Service beyond what is permitted by our API.

We reserve the right to investigate and take appropriate action against any violations, including suspension or termination of your account.

Intellectual Property

Our intellectual property: The Service, including its design, code, features, branding, documentation, and all associated intellectual property rights, is and remains the property of ContentPlan. These Terms do not grant you any rights to our trademarks, logos, or other brand features.

Your content:You retain all ownership rights to the content you and your team upload, create, or submit through the Service ("User Content"). By using the Service, you grant us a limited, non-exclusive, worldwide license to host, store, display, and transmit your User Content solely for the purpose of providing and improving the Service. This license terminates when your content is deleted from the Service.

Client content: If you are an agency using the Service, you are responsible for ensuring you have the necessary rights and permissions to manage content submitted by your clients within the platform. ContentPlan does not claim ownership of any client-submitted content.

Payment & Billing

Certain features of the Service may require a paid subscription. If you choose a paid plan:

  • Billing cycle: Subscriptions are billed in advance on a monthly or annual basis, depending on the plan you select.
  • Payment processing: All payments are processed securely through Stripe. By providing payment information, you authorize us to charge your payment method for the applicable fees.
  • Price changes:We may change subscription pricing with at least 30 days' notice. Price changes will take effect at the start of your next billing cycle following the notice period.
  • Taxes: You are responsible for any applicable taxes, duties, or levies associated with your subscription, unless otherwise stated.
  • Failed payments: If a payment fails, we will attempt to charge your payment method again. After repeated failures, we may suspend or downgrade your account.

Cancellation & Refunds

You may cancel your subscription at any time from your account settings. Upon cancellation:

  • Your subscription will remain active until the end of your current billing period. You will not be charged for subsequent periods.
  • You will retain access to paid features until your current billing period expires, at which point your account will revert to the free tier (if available) or become read-only.
  • We do not provide prorated refunds for partial billing periods. If you cancel mid-cycle, you will continue to have access for the remainder of that cycle.

Refund requests for exceptional circumstances (such as accidental charges or service outages) may be submitted to legal@contentplan.io and will be evaluated on a case-by-case basis.

Limitation of Liability

To the maximum extent permitted by applicable law, ContentPlan and its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or related to your use of or inability to use the Service, regardless of the theory of liability.

Our total aggregate liability for any claims arising out of or related to these Terms or the Service shall not exceed the greater of (a) the amount you paid to us in the twelve (12) months preceding the claim, or (b) one hundred US dollars ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such cases, the limitations above shall apply to the fullest extent permitted by law.

Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory. We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not warrant that any content stored on the Service will be preserved without loss; you are responsible for maintaining your own backups of critical content.

No advice or information, whether oral or written, obtained from ContentPlan or through the Service shall create any warranty not expressly stated in these Terms.

Indemnification

You agree to indemnify, defend, and hold harmless ContentPlan and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Service or violation of these Terms.
  • Any User Content you or your team members upload, create, or transmit through the Service.
  • Your violation of any applicable law, regulation, or third-party right.
  • Any dispute between you and your clients arising from the use of the Service, including disputes over content ownership or data access.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising out of these Terms shall be brought exclusively in the federal or state courts located in Delaware, and you consent to the personal jurisdiction and venue of such courts.

For users located in the European Union, nothing in these Terms affects your rights under mandatory consumer protection legislation in your country of residence.

Changes to Terms

We may revise these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this page and notify you through the Service or via email at least 30 days before the changes take effect.

Your continued use of the Service after the revised Terms take effect constitutes your acceptance of the changes. If you do not agree with the revised Terms, you must stop using the Service and may cancel your subscription.
